Job Details:
Reporting to the CEO of the Company, the Head of Legal will work closely with the CEO and the rest of the team. The Head of Legal should have a strategic perspective with strong stakeholder relationship management skills; challenging, influential and persuasive at all levels. The Head of Legal must be analytical, highly proficient in legal drafting with the sound commercial acumen to assess business agreements and provide advice in relation to the same.  
 
Job Purpose:
 
The Head of Legal shall be responsible for supporting and managing the legal team and providing legal services to the rest of the companies within the Group. Furthermore the Head of Legal will be required to assist with the commercial development, including winning new clients, and subsequently handling several legal, tax and advisory services related to the company’s requirements which shall include but not be limited to the following:
 
1.       Management services provided on a daily basis including:
·      Company formations: limited liability companies, trusts, partnerships (civil & legal), cooperatives;
·      Registrations with VAT department, Inland Revenue, Data Protection Commissioner, with the Employment and Training Corporation (ETC);
·      Licenses with the Trading and Licensing, Malta Tourism Authority;
·      IPR registrations with IP Office Malta, EU Authorities, worldwide;
·      Banking: open bank accounts for clients;
·      Re-mailing services: acting as registered office and re-mailing correspondence received at registered office to the clients’ address of choice;
·      Authentication of documents by lawyers or notaries;
·      Applications with Malta Communications Authority, Lotteries and Gaming Authority, Malta Financial Services Authority for ad hoc licenses in other regulated industries;
·      Credit control: assist clients in chasing debtors in Malta and other jurisdictions.
 
2.       International Tax Planning: identifying tax efficient holding company jurisdictions, inbound and outbound structuring for the operation of a structure and repatriation of funds with an aim to minimize the overall tax burden, addressing and advising on transfer pricing issues in cross-border transactions.
 
3.       The Head of Legal will be able to offer in particular the following services:
·      Primary Corporate Services: "Shelf" companies, directorships, Trustee shareholders, company secretary, registered office, trustee functions;
·      Ancillary Corporate Services: statutory books and records, organization of annual general meetings, Minutes of Board of Directors' meetings, translation, notarisation and filing of documents and other secretarial services.
 
4.       General advice on commercial and corporate law to Clients;
 
5.       The Head of Legal will be required to lead, develop, guide, motivate and coach his/her direct reports towards excellent performance.
 
6.       Other duties assigned by Chief Officers
 
Principal Accountabilities:
 
·         Timely drafting, reviewing and commenting on agreements with employees, suppliers and clients of the business, always keeping a focus and balance between the legal requirements of the business and the commercial aspects;
·         Making sure deadlines are kept and projects are adhered to according to the requirements as set out;
·         Networking externally to gain clients, with counterparts at NRAs, government bodies and legal institutions;
·         Keeping abreast with legal developments in the sphere of corporate law, corporation tax, governance, financial services, gambling, gaming and betting, data privacy, and offshore laws and directives in particular;
·         Put forward new ideas and suggestions for improvements in existing company policies and procedures.
 
Requirements:
 
To succeed in this role you will have the following:
·         Knowledge, skills and experience in some or all of the following: offshore jurisdiction experience, familiarity with offshore services providers, international tax planning, trusts experience, and corporate law;
·         Experience in setting up and registering companies;
·         Fluent in English, outstanding communicator able to share technical, legal and tax implications with a non-specialist in a language they understand;
·         Able to produce high-quality work in a flexible, fast-paced environment;
·         Organised and proficient in document management;
·         Ability to keep deadlines with the possibility to put in extra work to keep said deadlines;
·         Strong work ethics;
·         Self-starter, problem solver with the ability to work independently or under minimal supervision;
·         Flexibility and willingness to work on a broad variety of matters;
·         Be an adept people manager and relationship builder
·         European language(s); willingness to travel.
 
Qualifications:
 
·         Qualified lawyer, ideally in Maltese legislation, if not UK legislation, with a 7 year PQ experience in private practice or in a leading in-house team.
