Reporting to the Senior Legal Counsel, the Legal Counsel shall be working closely with the Executive Committee and Product Development teams to ensure a year-on-year increase of profitability within the Product Development business unit. Holding responsibility for defining regulatory and legal risk involved in the companies’ commercial projects. This requires an accomplished and experienced lawyer with experience in commercial law and corporate law in particular. The emphasis on business growth brings a key focus for the role and the job-holder to capitalize on the opportunities offered for the company’s’ Products and Services in markets around the globe. The Legal Counsel should hold a strategic perspective with strong stakeholder relationship management skills; challenging, influential and persuasive at all levels. The Legal Counsel shall be analytical, highly proficient in legal drafting with the sound commercial acumen to assess business agreements and provide advice in relation to the same. RESPONSIBILITIES · General advice on commercial and corporate law; · Corporate Governance: acting as company secretary where necessary, setting up new companies and ensuring a smooth running of the companies corporate governance; · Agreements: drafting, reviewing and negotiating agreements with employees, suppliers and clients; · Regulatory input on requests and queries with National Regulatory Authorities (NRAs); · General filing of applications and monitoring of company requirements in terms of banking, tax and government authority requirements. DIMENSIONS: · Responsible for highlighting legal risk of the business and coming up with possible solutions and mitigating factors to the risk PRINCIPAL ACCOUNTABILITIES: · Timely drafting, reviewing and commenting on agreements with employees, suppliers and clients of the business, always keeping a focus and balance between the legal requirements of the business and the commercial aspects; · Making sure deadlines are kept and projects are adhered to according to the requirements as set out; · Networking internally and externally with counterparts at NRAs, government bodies and legal institutions; · Keeping abreast with legal developments in the sphere of corporate governance, financial services, data privacy, and electronic communications laws and directives in particular; · Put forward new ideas and suggestions for improvements in existing company policies and procedures. REQUIREMENTS: · Knowledge, skills and experience in drafting of commercial contracts; · Experience in setting up companies; · Knowledge on electronic communications regulations in various jurisdictions; · Organized and proficient in document management; · Fluent in English to facilitate communication with colleagues and external parties. Other languages are a plus; · Ability to keep deadlines with the possibility to put in extra work to keep said deadlines; · Strong work ethics; · Reliable time keeping and attendance; · Self-starter, problem solver with the ability to work independently or under minimal supervision; · Ability to work in groups with other teams and other departments to achieve a common goal. REQUIRED QUALIFICATIONS: · Minimum degree in law; · 2 year post qualification experience as an in-house lawyer; · Legal warrant to practice law in Malta.
